What do we need to do if our charity is insolvent and the board has resigned?

Terms of reference for a non-decision making forum (not a board sub committee)

I'm working with a relatively small infrastructure charity that is looking to set up a forum for its members and others to come together to share experiences, best practice, peer to peer support, as well as feeding up to the charity their views on the strategy, etc.
They'd like it to be made up of representatives of their current member organisations, plus others involved in this specific sector. It's not a board sub committee and it won't have decision-making powers.
I've been trying to think of other charities with a similar set up to see if I can find a terms of reference as a starting point, but aside from some youth forums I'm drawing a bit of a blank. Is anyone aware of any similar forums it would be helpful for us to take a look at?
