Are charity board minutes in the public domain?

We recently held a Board meeting in which the role of the CEO was discussed. The CEO who normally attends, recused himself from that part of the meeting. 
When we distribute the minutes, I think we should include the CEO on the basis that he doesn't contribute to the discussion but should be able to view the results of the discussion. I talked this over with a former Trustee and he thought that charity board minutes are in the public domain and can be seen by anybody on request. 
Is that right? Thoughts anyone?
