"What can I do about a dysfunctional board? My charity's board is elected from among its membership. While wonderfully democratic, this can result in the majority of those elected not having the necessary understanding of the charity sector, the role of governance, or even a relevant business function, yet repeatedly overruling those that do (often by voting as a block based on personal "loyalty"). This can then lead to officers overstepping their responsibilities, the charity ignoring diversity and discrimination, and a focus on the chair's pet projects and the charity's market share, rather than what's best for the (other) members or the beneficiaries.
