Can the founders of the charity we named in our asset lock be on a non-exec board?

CIC

Christopher Baker Founder & MD at Etchr CIC Posted 2 years ago

Hi, this is my first post. I'm setting up a CIC (limited by guarantee), we will be making products and a profit, we'll also be providing a community service. Aside from that, we have chosen a charity who we have named in the asset lock. This charity have 2 founders and its own trustees.
I'm now looking at setting up some kind of board, the equivalent would be a board of trustees, I believe we can have a board of non-executive directors, I'm sure there are other structures we can use. I'm aware we have to have a board at all, but for the good of the organisation and as this is a steep learning curve, I'll take all the free experience I can get!
My questions is, as we are asset locked with this charity, can the treasurer and chair of that charity (who mentor me unofficially) be on a board?
My second question, as I'm just getting into the governance side of this project, what kind of board can our CIC appoint?
I have some experienced people in mind, trustworthy, but at the same time, I don't want to just blindly hand power over and be kicked out of my own community interest company in the first year - (seen it happen to someone in a charity, but I appreciate these are very different entities.)
