Hi everyone 
I have a CIC that has created a new education program and designed a specific digital platform for it. In exploring accreditation, we we're looking at working with an awarding body but had awful experience and included the potential loss of our IP to them. As result in talking to regulator, the best option looks like creating own awarding body so control remains as want it done.
To separate conflicts of interest from us able to be a provider I want to set new body as a charity foundation. The aim is it may be able to potentially give grants to cohorts to receive funded places. Initial board members is looking strong with professors and relevant representation from other charity organisations.
So here is my query:
I need to ensure the new body follows the model I have designed and don't want it running off in another direction. 
My solution is :
1. articles state my CIC maintains a board seat.
2. My CIC has a license agreement that gives the body exclusive rights to the IP and digital platform but branding remains under my CIC
I do not want to be CEO or manage the day to day charity and ensure total separation of interests.
However, the license agreement would state a % of enrolment fees that use the digital platform would go to the CIC, but not any other income generated such as grants etc
Has anyone come across similar scenario or see issues that could arise?
