We started a cooperative 11 years ago to counter rural decline in our small isolated village. We now have a highly valued resource, The Gather, a community owned shop, cafe, and visitors centre with spaces for community activity. I was a founding director of our coop and served for 4 years before "retiring"!!
More recently we started as CIC as an umbrella for promoting music in The Gather. I am one of 3 directors. The CIC was to firewall the finances of one from the other.
Under the rules of the CIC, "For the purposes of this Article 3, the following asset-locked body is specified as a potential recipient of the Company’s assets under Articles 3.2 and 3.4:" we specified our cooperative as the recipient body should the CIC fail
I have now been asked to return to the coop Board as Secretary.  Am I allowed to serve in this role for the recipient body whilst being a director of the CIC?
