Can I get some legal advice please? I run a very small CIC and have formed a board of 7 trustees in advance of applying for charity status. I know CICs don't need trustees and most don't have them, but I wanted to get everything in place ready to go so that we would be ready when we register.
However, one of my trustees is concerned about her legal liability. I have advised the board that as I am the sole registered director, liability lies only with me, but she has pointed out that trustees are mentioned in the governing documents.Â
Could someone clarify what legal responsibilities the trustees have in a CIC? None of them are registered with companies house as directors, I am the sole director. I'm also concerned over another trustee who is very difficult to work with and who thinks she has legal rights within the organisation?
