We currently operate as company limited by shares (ClS) and will be setting up a CIC limited by guarantee to replace it. We realise that we have to set up the CIC first and a new bank account for it. The directors of the CIC will include some of the directors of the ClS.  While we can see the guidance on Companies House about to close the ClS we are not clear on: 1) steps we need to take to transfer the cash balance in the ClS bank account and any other assets that the ClS might have to the ClC; 2) whether we need any kind of formal agreement between the ClS and the CIC; 3) how much time we should allow for this; and 4) who could advise us on this (ClS has external accountants); for example, whether we could need legal advice and how we could find this.  Any suggestions or ideas appreciated.
