Changes to CIO Constitution for AGM adoption

Governance

Andrew Wright Treasurer at Chelmsford Garden Community Trust Posted 1 year ago

Hi,
I am a relatively new Trustee at a CIO (Foundation model) who agreed last night to undertake a bit of re-boot/re-brand and amendment of its Charitable Objects. The original constitution has not been updated since it was originally signed in October 2015.
Despite searching for ages, I can't seem to find a definitive answer as to the process for actually varying the constitution document itself. The simplest way forward would seemingly be to agree by resolution to adopt the new (NOV 23) model constitution as amended to reflect any specifics we have. That would bring us up to date with all current legislation requirements.
This will actually be relatively straight forward assuming it's an option we can use but I have no idea what to do with Section 9(4) (First Charity Trustees). It would seem daft including the names of the original trustees from 8 years ago, only two of which are still in place but maybe this is what we have to do? It would make more sense to reference the original document but list the Trustees in place at the point the constitution is adopted.
I seem to have landed the job of sorting this and want to ensure it's ready for our upcoming AGM where we want to formally adopt the changes.

Many thanks!
Andrew
