Changing articles of association advice

Hi, we are a small charity and were looking to change to a CIO using the CC Light scheme, but the sticking point is our articles of association written 25 years plus ago that insisted one "member" had to be from the county council and one had to be from the borough council. They ceased interest years ago and no one has attended from either for at least 6 plus years. 
Also the original "members" have long ceased to be trustees and some may have passed away. Most surviving would be very elderly and we are not sure where they live now. 
Our plan is simply to write to all named and indicate that we invite them to step down (including the Councils) and we will hold a final vote on this at our AGM in October and they are invited to attend or vote by proxy. 
Does anyone have experience of this? Do we have to let anyone know? Are there any legal or Charity commission issues (they have been most unhelpful). 
We feel that we cannot move on until these A of A are changed. We then hope the change to CIO will be straightforward. Any help warmly welcome. We are obviously keen to avoid legal fees if possible - we receive no statutory funding and raise every penny ourselves. Thank you
