I would appreciate comments and thoughts, please.
A charity I support has been discovered to have been operating for years with inquorate AGMs, by mistake and in good faith. This has created serious doubt about the validity of trustee elections at the AGM, and could mean there are technically no trustees in office.
 There is no question of any illegality or wrongdoing, but the trustees need to be seen to have been elected properly, at a quorate general meeting.
The trustees are all good people and the mistakes are genuine and historical, and they want to create a clean start. So, if they all resign at an EGM and then stand for election again immediately afterwards - given that nobody else is prepared to stand - it seems logical that they are not standing for re-election, but election to a new committee. And if that is the case, as the EGM conforms to constitutional rules, their election is now safely beyond question.
And, if that is the case, how does the EGM operate - once everyone resigns does it elect a temporary chair to run the meeting and the elections, or is there another mechanism?
